All trademarks, service marks, and logos (the "Marks") displayed in connection with the Services are owned by Stirruptek LLC or their respective owners. Nothing in these Terms grants you any rights to use such Marks except as expressly provided herein.

User-Submitted Materials
You may have the option to upload or submit materials (such as comments, feedback, or other content) ("Submitted Materials"). While you retain ownership of your Submitted Materials, you grant Stirruptek LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, distribute, and publicly display these materials for any purpose.
You represent that you have all necessary rights to grant such a license and that your submission does not violate any third-party rights or applicable laws. Stirruptek LLC reserves the right to review, modify, or remove any Submitted Materials at its discretion.
Feedback
Any ideas, suggestions, or feedback you provide regarding the Services become the property of Stirruptek LLC. We may use such input without any obligation to you.

To the fullest extent permitted by law, Stirruptek LLC and its affiliates disclaim all liability for any damages arising from your use of or inability to use the Services. You assume all risks associated with their use.
Limitation of Liability
Under no circumstances shall Stirruptek LLC or its affiliates be liable for any indirect, incidental, special, punitive, or consequential damages. In any event, our aggregate liability shall not exceed the total fees paid by you in the twelve months preceding the claim. Some jurisdictions may not allow the exclusion of implied warranties or limitations on liability; if so, such exclusions or limitations may not apply.
Force Majeure
Stirruptek LLC shall not be liable for any delay or failure to perform due to events beyond our reasonable control, including natural disasters, power outages, or other disruptions.
We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services will immediately cease, and any data associated with your account may be deleted at our discretion.

Except as otherwise provided herein, these Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Mandatory Binding Arbitration:
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our Services shall be exclusively resolved by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its then-current Commercial Arbitration Rules. The arbitration shall be conducted in San Jose, California, in the English language, except that either party may elect to have the arbitration conducted in another mutually agreed location if both parties consent in writing.
Small Claims and Certain Disputes:
Notwithstanding the foregoing, either party may bring any claim or dispute that qualifies for resolution in small claims court. In addition, if any arbitration provision is held to be invalid or unenforceable, the dispute shall be resolved in the appropriate state or federal court located in San Jose County, California.
Waiver of Jury Trial and Class Action Waiver:
By using the Services, you acknowledge and agree to waive your right to a trial by jury and to participate in a class or representative action.

These Terms constitute the entire agreement between you and Stirruptek LLC regarding your use of the Services and supersede all prior agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
Data Storage and Processing
LANK Systems will store and process your data in accordance with our Privacy Policy. You retain all rights to your data uploaded to or created within the Services. We will not access, use, or disclose your data except as necessary to provide the Services, as required by law, or as permitted by you.
Service Availability
While we strive to maintain high availability of our Services, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance whenever possible. For details on our uptime commitments, please refer to our Service Level Agreement available on our website.
Data Export
You may export your data from the Services using the available export functions. Upon termination of your subscription, we will retain your data for a period of 30 days, during which you may request a copy. After this period, we reserve the right to delete your data from our systems.
